Welcome to 4Core Functional Health (“4Core,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our website (www.4core.ai), mobile applications, client portal, and all related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, scheduling an appointment, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

You must be at least 18 years old to use our Services. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

4Core Functional Health provides functional medicine services, including but not limited to:

• Comprehensive health assessments
• Bioimpedance and metabolic testing
• Personalized health plans and recommendations
• Nutritional guidance and supplementation protocols
• Health coaching and follow-up consultations

Our Services are designed to complement, not replace, your relationship with your primary care physician or other healthcare providers.

4.1 Account Creation

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

4.3 Accurate Health Information

You agree to provide accurate and complete health information. Providing false or misleading health information may result in inappropriate recommendations and could be harmful to your health.

5. Appointment and Cancellation Policy

Appointments may be scheduled through our website, client portal, or by phone. We require at least 24 hours notice for appointment cancellations or rescheduling. Failure to provide adequate notice may result in a cancellation fee. Repeated no-shows or late cancellations may result in termination of services.

6. Payment Terms

6.1 Fees and Payment

You agree to pay all fees associated with the Services you select. Fees are disclosed at the time of scheduling and are subject to change with notice. Payment is due at the time of service unless other arrangements have been made.

6.2 Insurance

4Core Functional Health services may not be covered by insurance. While we can provide documentation for you to submit to your insurance company for potential reimbursement, we do not guarantee coverage. You are responsible for understanding your insurance benefits and for any amounts not covered by insurance.

6.3 Refunds

Services rendered are generally non-refundable. Refunds for unused services or programs may be considered on a case-by-case basis at our sole discretion.

7. Communications and Consent

By using our Services and providing your contact information, you consent to receive communications from us, including:

• Appointment reminders and confirmations via phone, email, or text message
• Health-related information and follow-up care communications
• Administrative and service-related notices
• Marketing communications (from which you may opt out at any time)

8. Intellectual Property

All content, materials, and intellectual property on our website and within our Services, including but not limited to text, graphics, logos, images, software, and the compilation thereof, are owned by or licensed to 4Core Functional Health and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our Services without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 4CORE FUNCTIONAL HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless 4Core Functional Health and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any claim that your use of the Services caused damage to a third party

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Charlotte, North Carolina. The decision of the arbitrator shall be final and binding.

12.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the “Effective Date.” Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Notice of Privacy Practices, constitute the entire agreement between you and 4Core Functional Health regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
